THIS LICENSE AGREEMENT (the “Agreement”) is made and entered into on the date of acceptance by the licensee (“Licensee”) and LosjiTech (the “Licensor”).

Subscription Fees
Licensee shall pay Licensor the subscription fees according to the terms of the pricing plan (TOS) and Order Form created by the Licensee. The subscription fees shall be payable monthly or annually in advance, as per the pricing plan chosen by the Licensee. All subscription fees paid are non-refundable.

Ownership
Licensor shall retain all ownership rights to the Software, including all intellectual property rights therein.

Restrictions
Licensee may not sublicense, distribute, sell, rent, lease, or otherwise transfer the Software, or any portion thereof, to any third party. Licensee may not reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.

Warranty Disclaimer
Licensor makes no warranties, express or implied, with respect to the Software, including, without limitation, any implied warranties of merchantability or fitness for a particular purpose.

Limitation of Liability
In no event shall Licensor be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the use of the Software.

Termination
This Agreement may be terminated by either party upon written notice if the other party materially breaches any term or condition of this Agreement.

Governing Law
This Agreement shall be governed by and construed according to the jurisdiction mentioned in the contract / order form.

Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements or understandings, whether written or oral.

Acceptance
Licensee acknowledges that it has read this Agreement, understands it, and agrees to be bound by its terms and conditions.IN WITNESS WHEREOF, the parties have executed this Agreement as of the date of acceptance by Licensee.
